Dealer Contract
Please return one complete (all pages) signed contract (keep a second
copy for your records), your method of payment, a registration
form for each Dealer/Assistant(s) and mail them to:

I wish to participate in Sunnydale Central 3 (herein referred to as "SC3")
as a Dealer on October 1 - 3, 2004 and agree to be bound by the following
Terms and Conditions:
1. Liability and Force Majeure
A. I, the undersigned (and herein referred to as the "Dealer"),
do hereby agree to release SC3 and the Renaissance Toronto Airport Hotel
(herein referred to as the "Hotel"), and their directors, owners
and employees, for loss or injury to the Dealer or the Dealer's property
while en route, to or from, or on the premises, of the aforementioned
convention.
B. The Dealer agrees to protect, keep, and save SC3
forever harmless from any damage(s) or charge(s) imposed for violations
of any ordinance or regulations by the Dealer, his employees or agents,
as well as failure to comply with the terms and agreements of this contract.
C. In the event that the Hotel or any part of the exhibit
area thereof is unavailable, whether for the entire event or a portion
of the event, as a result of fire, flood, tempest, or another such cause,
or as a result of governmental intervention, malicious damage, acts of
war, strike, labour disputes, riot, or agency which SC3 has no control,
or should SC3 decide that because of any such cause it is necessary to
cancel, postpone, or re-site the show, or reduce installation time, exhibit
time, or move out time, SC3 shall not be liable to indemnify or reimburse
the Dealer in respect of any damage or loss, direct or indirect, arising
as a result thereof.
2. Table Purchase Information
A. Dealer’s tables are available at a cost of
$100 (Cdn) per table, and include one (1) Silver Level Membership.
B. Any additional people manning (working) the table
must each have an SC3 Silver Level Membership.
C. Each table is a standard 6 ft. table.
D. Included with each table are two (2) chairs.
E. Tablecloths are included but a refundable deposit
of five dollars ($5 Cdn) per tablecloth is required. Refunds of the deposit
will be made if the tablecloths are returned undamaged and unsoiled.
Tablecloths are not available from the Hotel.
F. Electric power is not guaranteed. Outlets do exist,
and if available, may be used by those with power cords and sufficient
duct tape to affix said cords to the floor. SC3 will not supply extension
cords or duct tape. Should the Dealer choose to use power cords and duct
tape, any damage to Hotel flooring or carpets resulting from such use
will be the sole responsibility of the Dealer.
G. SC3 reserves the right to refuse acceptance of any
individual, group and/or company from participating in the convention.
H. Table(s) and all items purchased in association with
the table are non-refundable, but may be carried over
towards the purchase of tables at Sunnydale Central 4.
I. Confirmations (email or snail mail) issued are your
proof of Registration. Please keep them and bring them with you to ensure
entrance to SC3.
J. If your contact information changes (e.g. personal
phone is disconnected, you move, etc.), please call collect to inform
us, as soon as possible.
3. Table Set-up
A. No Dealer will be permitted to set-up until a signed
copy of this contract is received and all debts to SC3 are paid in full
by cash, Visa, Master Card, American Express (using PayPal), certified
cheque or money order.
B. Before setting up, each Dealer must first check in
at the Registration table to receive Dealers Room badges to be able to
access the Dealers Room.
C. Dealers are permitted to begin set-up at
noon on the first day (Friday) of the convention. SC3 does not
supply storage for dealers. For your information, the Dealers Room hours
are:
Friday, October 1, 2004, 6 PM to 9 PM
Saturday, October 2, 2004, 10 AM to 5 PM
Sunday, October 3, 2004, 10 AM to 4 PM
D. The Hotel does NOT supply dollies to move materials
into the Dealers’ Room. The Hotel requires any dolly brought in
by a Dealer have rubber wheels.
E. The Hotel’s policy on posting items to the
walls is, "No displays may be attached to the drapes or wall decorations
or hung from the ceiling. The use of thumbtacks, double sided tape (rubber
backing type), scotch tape, nails, screws, bolts and spikes or any tool
or material which could damage the walls is PROHIBITED by the Renaissance
Toronto Airport Hotel. Only masking tape or a material that can be removed
easily without damage to walls or surfaces can be used for affixing signs,
banners, etc."
F. Dealers will keep their table areas clean, safe and
are responsible for any damage to the tables, chairs, walls, doorways,
carpets or other property not owned by the Dealers. This includes any
damage caused by transporting merchandise and/or activities or actions
of the Dealer.
G. Dealers agree to leave their areas "broom clean" at
the close of the Convention. If the area is not deemed as "broom
clean," SC3 will charge the Dealer $50 (Cdn) for every hour it takes
to clean their space, with a minimum one (1) hour charge.
H. All Dealers must vacate their table by 7 p.m. Sunday
Ocotber 3, 2004. Anyone not vacated will be charged $50 (Cdn) per hour
until the space is vacated with a minimum of a one (1) hour charge.
I. Tables are standard 6 ft. tables with 3 ft. of space
behind — all tables, merchandise, displays, chairs and working
staff are to be located within this area while operating. If you need
back tables, please contact us prior to completing your contract re.
availability. No exhibit may block or interfere with a neighbouring exhibit.
Dealers must consider how their tables will be set-up and their plans
to work the space. Displays rising higher than 78" or that are unstable
or unsafe will require adjustment for the safety of all SC3 attendees.
Deeming what is unstable or unsafe will be responsibility of the Dealers'
Liaison.
J. Dealers using sound systems or television monitors
with sound must keep the sound to a reasonable level and must not interfere
with those systems used by other Dealers. SC3 reserves the right to determine
at what point sound constitutes an interference with others and must
be discontinued.
K. Phone service is not provided by SC3.
4. Merchandise
A. In accordance with Canadian law, SC3 will not condone
the sale of erotic media and items. Any Dealers selling adult material
must ensure that: (a) no such material is sold by the Dealer to a minor
and (b) all adults only material must be kept either behind the table
or, if displayed on the table, must be bagged or covered so that minors
may not see it. Any adult material depicting nudity must be blinded (i.e.
The nudity or sexual content must be covered).
B. Restricted or prohibited weapons, as stated in the
Criminal Code of Canada, will NOT be permitted to be sold at the convention.
Specific examples include but are not limited to: Batons; Tazers; Tear
Gas; Mace; Pepper Spray; Nunchaks or similarly restricted Martial Arts
weapons; and "Butterfly" or Switchblade/Dropblade style knives.
Finally, no live firearms or authentic replicas of contemporary firearms
will be permitted. Anything that falls into these categories, or any
weapons or replica weapons judged unsafe by convention security or the
Hotel must be immediately placed into storage (i.e. your hotel room or
vehicle) for the rest of the convention. Dealers selling weapons or replica
weapons are required to bag those weapons (as best as possible) upon
sale and inform the purchaser that they must be immediately transported
outside the convention area into storage (i.e. their hotel room or vehicle).
C. Possession of illegal or unlicenced copies of an
item, or unlicenced replications of copyrighted props will result in
both ejection from SC3 without refund and a report sent to the offended
copyright owner. If requested, SC3 will co-operate fully with any copyright
holder who believes their rights have been violated.
D. All prices on all items must be in Canadian Funds.
The conversion rate to be used on-site will be provided by SC3 and supplied
by the Royal Bank of Canada on Wednesday September 29, 2004. Failure
to use this rate could result in the Dealer being removed from the convention
by SC3.
E. Each and any Dealer charging GST must display his/her
GST registration number and have their license available for the Dealers'
Liaison or his/her assistants to view. SC3 assumes no responsibility
for the Goods and Services Tax and Ontario Retail Sales Tax. It is the
responsibility of the Dealer to collect and remit all taxes.
5. Guidelines
A. The Dealers’ Liaison or his/her assistants
will handle disputes between the Dealer and any other Dealer and have
full power to interpret and enforce the contract regulations.
B. Rough housing, slander and rude behaviour is unwarranted
and unwelcome at SC3. Please be considerate of your fellow Dealers as
well as the fans.
C. SC3 staff is not responsible for obtaining refreshments
for the Dealer or Dealer's assistants.
D. SC3 staff is not responsible to find someone to man
a Dealer’s tables if the Dealer has to leave their tables during
the Dealers Room hours.
E. The Hotel is a non-smoking hotel and therefore smoking
is not permitted.
The foregoing represents the agreement between the undersigned Dealer
and SC3 for the convention on October 1 - 3, 2004
